Terms & Service

  1. This service agreement includes the following deliverables for the Client’s Giving Tuesday Campaign:
    • Execution strategy – objectives, approach and goals
    • 6(Six) Custom written & designed social posts
    • 9(Nine) Custom written & designed emails of a Giving Tuesday Campaign
  2. This agreement is for 2022 and it will remain in effect until November 29th, 2022.
  3. This agreement includes a standard revision protocol of 3 rounds of proofing for creative projects.
  4. Additional rounds of edits over and above are subject to additional costs as notified by Anchor Marketing Inc.
  5. Additional deliverables beyond the scope of work identified in this contract will be discussed and added to a revised contract with hours billed at a rate of $150/hour. The Consultant will provide pricing per project when a request is made by the Client.
  6. Client Will Review Work. The Client promises to review the work product, to be reasonably available to Anchor Marketing if Anchor Marketing has questions regarding this project, and to provide timely feedback and decisions.
  7. Confidential information (the “Confidential Information”) refers to any data or information relating to the business of the Client which would reasonably be considered to be proprietary to the Client including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of the Client and where the release of that Confidential Information could reasonably be expected to cause harm to the Client.
  8. Anchor Marketing agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any confidential information which Anchor Marketing has obtained, except as authorized by the Client or as required by law. The obligations of confidentiality will apply during the Term and will survive indefinitely upon termination of this Agreement.
  9. All written and oral information and material disclosed or provided by the Client to Anchor Marketing under this Agreement is Confidential Information regardless of whether it was provided before or after the date of this Agreement or how it was provided to Anchor Marketing.
  10. All intellectual property and related material , including any trade secrets, moral rights, goodwill, relevant registrations or applications for registration, and rights in any patent, copyright, trademark, trade dress, industrial design and trade name (the “Intellectual Property”) that is developed or produced under this Agreement, will be the sole property of the Client. The use of the Intellectual Property by the Client will not be restricted in any manner.
  11. Anchor Marketing may not use the Intellectual Property for any purpose other than that contracted for in this Agreement except with the written consent of the Client. Anchor Marketing will be responsible for any and all damages resulting from the unauthorized use of the Intellectual Property.
  12. Client Owns All Work Product. As part of this job, Anchor Marketing is creating “work product” for the Client. To avoid confusion, work product is the finished product, as well as drafts, notes, materials, mockups, hardware, designs, inventions, patents, code, and anything else that Anchor Marketing works on—that is, conceives, creates, designs, develops, invents, works on, or reduces to practice—as part of this project, whether before the date of this Agreement or after. Anchor Marketing hereby gives the Client this work product once the Client pays for it in full. This means Anchor Marketing is giving the Client all of its rights, titles, and interests in and to the work product (including intellectual property rights), and the Client will be the sole owner of it. Anchor Marketing also waives its moral right to the integrity of the work product. The Client can use the work product however it wants or it can decide not to use the work product at all. The Client, for example, can modify, destroy, or sell it, as it sees fit.
  13. If the Client provides Anchor Marketing with material to incorporate into the work product, the Client promises that this material does not infringe on someone else’s intellectual property rights.
  14. If a deliverable from the Client – such as input, approvals, or payment – is late more than 5 business days, the project will be considered “on hold.” Once the deliverable is received and the project is re-activated, it will be rescheduled based on the Consultant’s current workload and availability.
